Enel's Board of Directors consists of three to nine members who are appointed by the
ordinary shareholders' meeting for a term of up to three financial years
The appointment of the entire Board of Directors takes place according to a slate voting
system, aimed at allowing the presence of members nominated by minorities totaling 3/10 of
the Directors elected. If the slate that obtained the majority of the votes cast have not a
suitable number of candidates in order to achieve 7/10 of the Directors to be elected, the
other candidates necessary to complete the Board shall be drawn from the minority slates
The slates may be presented by the outgoing Board or by shareholders who, individually or
together with other shareholders, own at least 0.5% of the share capital
The slates must be filed at least 25 days before the AGM and published by the Company at
least 21 days before the date of the meeting
In order to assure to the less represented gender at least 40% of the seats, the slates
containing a number of candidates equal to or over three shall include candidates belonging to
different genders
A report containing exhaustive information on the background of the candidates,
accompanied by a statement as to whether or not they qualify as independent, must be filed
with the slates
