Robert (Rob) Reid was an executive officer of Air Canada when it filed for protection under the
CCAA on April 1, 2003;
Lise Fournel was an executive officer of Air Canada when it filed for protection under the CCAA on
April 1, 2003;
Marc Rosenberg was an executive officer of Air Canada when it filed for protection under the
CCAA on April 1, 2003;
(viii) Alan Butterfield was appointed Vice-President, Line and Airframe Maintenance at United Airlines
in March 2004 while United Airlines was operating under bankruptcy protection under Chapter 11 of
the US Bankruptcy Code;

Kevin Howlett was an executive officer when CAIL restructured under the CCAA pursuant to a plan
of compromise which became effective on July 5, 2000. CAIL's common shares and non-voting
shares were suspended from trading by the TSX on June 27, 2000 and delisted on July 6, 2000.
Kevin Howlett was an executive officer of Air Canada when it filed for protection under the CCAA
on April 1, 2003;
Susan Welscheid was an executive officer of Air Canada when it filed for protection under the
CCAA on April 1, 2003; and
Claude Morin was an executive officer of Air Canada when it filed for protection under the CCAA
on April 1, 2003.
Penalties or Sanctions
To the knowledge of Air Canada, no director or executive officer of Air Canada, (i) has been subject to any
penalties or sanctions imposed by a court relating to securities legislation or by a securities regulatory authority or
has entered into a settlement agreement with a securities regulatory authority or (ii) has been subject to any other
penalties or sanctions imposed by a court or regulatory body that would likely be considered important to a
reasonable investor in making an investment decision.
Personal Bankruptcies
To the knowledge of Air Canada, in the last ten years, no director or executive officer has become bankrupt,
made a proposal under any legislation relating to bankruptcy or insolvency, or was subject to or instituted any
proceedings, arrangement or compromise with creditors, or had a receiver, receiver manager or trustee appointed to
hold the assets of the director or executive officer.

Audit Committee Charter
The charter of the Audit, Finance and Risk Committee ("Audit Committee") is attached as Appendix A to this
Initial Annual Information Form.
Composition of Audit Committee
The Audit Committee of Air Canada consists of David I. Richardson (chairman), John T. McLennan, Richard H.
McCoy and Arthur T. Porter. Each member of the Audit Committee is independent and financially literate as
defined under Multilateral Instrument 52-110 - Audit Committees.
Relevant Education and Experience of Audit Committee Members
In addition to each member's general business experience, the education and experience of each Audit
Committee member that is relevant to the performance of his or her responsibilities as an Audit Committee member
is as follows:
