Pursuing constant improvement, we evaluate our Board of Directors and its committees,
taking into consideration aspects such as composition; structure and organization; Board
dynamics; communication and information flow with the CEO and the Board, among others.
In 2020, the analysis was promoted considering the bodies as collegiate and attesting to a
good joint result of the BD members in the performance of their attributions, with balance
in deliberations and in strategic themes, such as ESG and sustainability, and operational
results, as well as specific points for improvement, such as the strengthening of the Audit
Committee, which went from five members to six in 2021. Besides the external evaluation,
a self-evaluation of the Audit Committee was carried out, in line with what is determined
by its internal regulations and the IBGC.
To improve the knowledge of members, throughout the year we have discussions
about economic, environmental, and social topics that are relevant to our business and
relationships, in sessions where strategic planning is also reviewed; in meetings with
external experts on ESG topics and their implications; and in informative meetings to
monitor the activities carried out in social responsibility, environment, and governance.
