demerged into two separately listed and independently managed public companies - Bank of Georgia Group PLC,
the banking business, and Georgia Capital PLC, the investment business. The demerger was completed on 29 May
2018. In 2018 Bank of Georgia Group PLC issued additional 9,784,716 shares to Georgia Capital as part of the
demerger. JSC Georgia Capital will exercise its voting rights at the Group's general meetings in accordance with
the votes cast by all other Group shareholders as long as JSC Georgia Capital's percentage holding in Bank of
Georgia Group PLC is greater than 9.9%
