MESSAGES ABOUT THE REPORT THE CCR GROUP STRATEGY AND OPPORTUNITIES BUSINESS MODEL SERVICES TOLL ROADS URBAN MOBILITY AIRPORTS OUTLOOK The Advisory Committees of the Board of Directors complete the corporate governance structure of CCR Group and are important tools for improving the decision-making process. There are six committees, which do not have executive roles, but contribute to the in-depth analysis of the issues under their responsibility, issuing a recommendation report to the Board of Directors, thereby ensuring that economic, social and environmental aspects are incorporated into the business strategy and management. Audit Committee It aims to assist the Board in defining the standards of quality and evaluation of financial reports and internal controls, as well as the risks involved in the accounting principles used and the adequacy and effectiveness of internal controls, proposing changes if necessary. Human Resources Committee It comments on and proposes changes to the compensation policy of CCR and subsidiaries, and to the Profit-Sharing Programs as well as the processes for appointing CCR officers and potential candidates nominated by the CEO, at the request of the Board of Directors, in addition to other duties. Board of Directors Strategy and Sustainability Committee It assesses the General Goals and Guidelines of CCR Group and the Business Plan, all of which are suggested by the CEO. It is also responsible for identifying critical issues and good social and environmental practices of the organization and of companies in the sector. New Business Committee It evaluates, at the request of the Board of Directors, the development of studies for potential acquisitions of stakes in new business, identifying potential problems and approaches to be followed in negotiations. Governance Committee It suggests and supervises the format and constitution process of the Board of Directors, developing, reviewing and proposing improvements periodically. It is the Governance Committee that proposes the dynamics of the role occupied by the Board of Directors and conducts the periodic assessment of the Board of Directors, the Committees, the CCR Group CEO and the Board Secretary. Finance Committee It examines the company's financial policy, analyzing its structure and recommending corrective actions. It also monitors and informs the Board of Directors about key financial issues such as loans/refinancing of long-term debts, risk analysis, dividend policy, share and debt security issues and investments.
