(1897) AC 22 Salomon's case established many legal principals as to companies: ⚫ It recognized the separate legal personality principal It recognized family owned companies It recognized the limited liability of members. It also recognized that a member can give a loan to a company It recognized that a secured creditor (over assets), even if he is a member or director of the company, will have preference over unsecured creditors.
