Investing in the business combination involves a high degree of risk. Below is a summary of certain

• Benson Hill has a limited operating history, which makes it difficult to evaluate its current business
and prospects and may increase the risk of investment.
• Benson Hill faces significant competition and many of its competitors have substantially greater
financial, technical and other resources than Benson Hill does.
Benson Hill's business activities are currently conducted at a limited number of locations, which
makes us susceptible to damage or business disruptions caused by natural disasters or acts of
vandalism.
• To compete effectively, Benson Hill must introduce new products that achieve market acceptance.
Any collaboration arrangements that Benson Hill may enter in the future may not be successful,
which could adversely affect Benson Hill's ability to develop and commercialize its product
