Chapter One
General Provisions
Article 1 For the purpose of strengthening the communications between China
Merchants Bank Co., Ltd. (hereinafter referred to as the "Company") and investors
and potential investors (hereinafter collectively referred to as “investors”), promoting
investors' understanding and recognition of the Company and enhancing the
investment value of the Company, the Company has established the investor relations
management system in accordance with the Company Law of the People's Republic
of China, the Securities Law of the People's Republic of China, the Notice
Concerning the Encouragement of Listed Companies to Strengthen Investor Relations
Management issued by the China Securities Regulatory Commission, the Rules
Governing the Listing of Securities on Shanghai Stock Exchange, as well as the
Articles of Association of China Merchants Bank Co., Ltd, and other relevant laws,
rules regulations.
Chapter Two
Purpose, principles and objectives of investor relations
management
Article 2 Investor relations management is various investor relations activities
conducted by the Company with an aim to strengthen the communication between the
Company and the investors and to promote investors' understanding of the Company.
Article 3 The purpose of investor relations management is:
1. To promote investors' understanding and recognition of the Company through
sufficient disclosure of information;
2. To establish a corporate culture of respecting investors;
3. To foster corporate integrity and self-discipline and to have operation and practices
well regulated;
4. To enhance transparency and improve corporate governance structure;
5. To ultimately realize enterprise value and maximize shareholder value.
