25. We are subject to extensive, complex and evolving laws, rules and regulations, which are subject to
change and which are interpreted and enforced by various federal, state and local government
authorities and self-regulatory organizations. The ultimate impact of these laws and regulations
remains uncertain, but may adversely affect our ability to operate profitably.
26.We have in the past, and will continue to be, subject to inquiries, exams, investigations or
enforcement matters, any of which could have an adverse effect on our business.
27.Employee misconduct, including insider trading violations (given the nature of our business), can be
difficult to detect and deter, and could harm our reputation and subject us to significant legal liability.
We cannot ensure that all of our employees and agents will comply with our internal policies and
applicable law, including anti-corruption, anti-bribery and similar laws. We may ultimately be held
responsible for any such non-compliance.
28. The regulatory requirements to which we are subject result in substantial compliance costs, and our
business would be adversely affected if our licenses are impaired as a result of non-compliance with
those requirements.
29.We may become subject to examinations, regulatory enforcement, or litigation as a result of our
failure to comply with applicable laws and regulations, even if noncompliance was inadvertent.
30.Litigation, regulatory actions, and compliance issues could subject us to significant fines, penalties,
judgments, remediation costs, negative publicity, changes to our business model, and requirements
resulting in increased expenses.
