Rigetti relies on certain open-source software in its quantum systems. If licensing terms change, Rigetti's business
may be adversely affected.

research and thus may be subject to federal regulations providing for certain rights for the U.S. government or
imposing certain obligations on it, such as a license to the U.S. government under such intellectual property, "march-
in" rights, certain reporting requirements and a preference for U.S.-based companies, and compliance with such
regulations may limit its exclusive rights and its ability to contract with non-U.S. manufacturers.
